Publicly-Available Documents
(Available from the Registrar of Companies in Bermuda)
- Memorandum of Association
- Consent Order
- Articles of Incorporation
- Annual Shareholders Returns
- Changes in Authorised Share Capital
Certified copies are available upon request.
Costs vary according to a sliding scale. If the document has a government crest at the top of the page the charge levied by the Registry is higher than that for an ordinary piece of correspondence, such as a letter on a law firm letterhead. This is the same for certified copies.
A quote will have to be obtained on each occasion for cost and delivery time but the minimum charge will be £82.50 + a charge per page + vat.
Directors/Shareholders Searches
A search can be conducted at the Registered Office of a company to obtain a list of the directors and shareholders (the latter includes details on all shareholders for one year previous and covers any transactions during that period). This information can be obtained additional to a standard registry search at an additional charge of £60.00 + vat.
We cannot provide other directorships/shareholdings.
Searches on Individuals
A search can be conducted in the form on a discreet investigation, which may uncover details on the individual's professional and/or corporate affiliations. However, this is charged at an hourly rate which is dependent on the level of investigation (+ disbursements). A quote would need to be provided on an ad hoc basis.
A full address is needed to conduct this search.
Searching a Registered Office Address
This is not possible if a company uses a law firm as its registered office as they invariably refuse to divulge this information.
If the registered office address is that of a building and does not relate to a law firm then a search can be conducted. This is charged at an hourly rate of £100.00 + vat, with a minimum charge of one hour. If one of the company's listed at the given address is a corporate management company then it may act as the registered office for other companies, details on which are highly unlikely to be obtained.
