Principal Business Types
S.A. - Sociedad anonima
Limited Liability company. May be public or private. Must have a minimum of two shareholders. The minimum share capital is $100,000 and there is no maximum. Public companies must offer shares to the public; private companies may not. In public companies shares are freely transferable; in private companies transfer is restricted. The liability of shareholders is limited to the amount paid for the shares held.
In addition, there are corporations controlled by federal or local governments or agencies, and corporations financed by the private investor, but with participation of the government.
S.R.L - Sociedad de responsabilidad limitada
Limited liability company. Must have a minimum of two and a maximum of 50 members. Shares are called quotas and there is no minimum requirement. Capital may not be raised from the public and transfer of quotas is restricted. The liability of members is limited to their capital stake.
Sociedad colectiva
General Partnership. All partners are personally liable for debts and obligations without limit. A corporation may not be a partner.
Sociedad en comandita simple
Limited partnership. Must be at least one general partner with unlimited liability and limited partners whose liability is limited to their capital contribution.
Sociedad en comandita por acciones
Partnership limited by shares.
Sociedad accidental o en participacion
Accidental partnership. A form of limited partnership which is temporary for a particular project and has individuals only as partners.
Sociedad de capital e industria
Capital and industrial partnership. An association where some partners provide capital and assume liability for all debts and other partners provide skills and are liable only to the extent of undrawn profits.
Cooperative
Sucursal de empresa
Branch of a foreign company.
Contrato de colaboracion empresaria
A kind of joint venture which is not a separate legal entity.
Contratode union transitoria de empresa
A kind of joint venture known as a transitory union agreement. Not a separate legal entity.
Comerciante
Sole proprietorship where liability for all debts is unlimited.
