Principal Business Types
Partnership Anonyme
Public or private limited liability company. The minimum number of shareholders is two
and in the case of private companies, a maximum of 50 applies. The share capital must be at least ?M 500, or in the case of a foreign controlled company, ?M 5000 With a private company the transferability of shares is restricted and offers may not be made to the public. The liability of a shareholder is limited to the amount, if any, unpaid on the shares held.
En nom collectif (General Partnership)
An association of two or more partners who have unlimited joint and several liability. The
partnership os assigned a title under which it operates.
En commandite (Limited Partnership)
Limited partnership whose capital may be divided into shares. The partnership must
comprise at least one partner with unlimited and joint and several liability and one or more
silent partners with liability limited to their capital contribution.
Branch of a foreign company
The foreign company is liable for the debts of the branch.
Association en participation (Joint Venture)
An association of two or more parties where relationship is usually governed by a private agreement.
Sole Proprietorship
The business of an individual where liability for all debts is unlimited.
