Principal Business Types
Limited (Ltd)
Can be a Public or Private company, both have limited liability.
A Public company must have a minimum of seven shareholders, there is no minimum capital. Liability of shareholders is restricted to the value of shares held. Shares a freely transferable.
A Private company may not have more than 25 shareholders, there is no minimum capital but all shares must be subscribed. Shares are not freely transfereable and the public must not be invited to subscribe. The liability of the shareholders is limited to the value of shares held.
Partnership
Partners are jointly and severally liable for all debts
Special Partnership
A partnership which includes partners with limited liability.
Branch of a foreign company
Accounts must be produced for the branch as if it were a separate company.
Sole Proprietorship
Business of an individual where liability for all debts is unlimited.
Company Accounts Filing Requirements
Only Public Limited companies are obliged to file accounts.
