Principal Business Types
Perseroan Terbatas (PT)/Naamloze Vennootschap (NV)
This type of company may be Public or Private. Must have at least two shareholders but there is not minimum share capital requirement. Shareholders liability is limited to the value of shares held.
NV only applies to very old companies.
Perusahaan Negara (PN)
State owned corporation
Firma (FA)
General partnership where partners have unlimited liability.
Commanditaire Vennootschap (CV)
Limited Partnership. Silent partners have limited liability for the amount of capital invested. Working partners have unlimited liability.
Branch of a foreign company
Only applies to banks and certain service industries. The responsibility for debts is wholly assumed by the foreign company.
Perusahaan Perseorangan (PP)
Sole proprietorship where the individual is liable for all debts.
