Principal Business Types
S.A. - Sociedad anonima
Limited Liability company. Must have a minimum of five shareholsers and a minimum share capital of P's 25,000. Transferability of shares may or may not br restricted. The liability of shareholders is limited to the par value of shares held.
S.A. de C.V - Sociedad Anonima de Capital Variable
The same as an S.A except that the capital comprises a minimum fixed amount of P's 25,000 and a further variable amount. The latter must be offered to existing shareholders in proportion to their holding of fixed stock before an offer to outsiders.
S. de R.L. - Sociedad de Responsabilidad Limitada
Limited liability company. Capital must be held by a minimum of two and a maximium of 25 persons. Must have a minimum capital of P's 5,000. The transferability of capital is restricted. Investors are liable only for the amount of their contribution to the capital.
Sociedad en Nombre Colectivo
General partnership in which partners have unlimited liability.
S. en C. - Sociedad en Comandita
Limited partnership in which only the general partners have unlimited liability.
S.C - Sociedad Civil
The partners, who have unlimited liability, are taxed individually on their share of the partnership profits.
Branch of a foreign corporation
Regarded unfavourably and is very rare.
A. en P. - Asociacion en Participacion
A joint venture contract. An association in which parties who provide property or services share in the profits or losses of a venture with the managing party being solely liable for all third party claims.
A.C - Asociacion Civil
A civil association. The form taken by charity and other not for profit organisations which prohibit any profit distribution to members.
Empresa de Persona Fisica
Sole proprietorship. The business of an individual where liability for all debts is unlimited.
