Principal Business Types
Sociedad Anonima (SA)
Corporation. As from 01/01/90 the minimum share capital must be Pts 10 million, 25% of which must be paid up.
Shares issued may be registered of bearer shares. If the capital is not fully paid up, the shares must be registered shares.
All quoted companies must be SAs, but 70% of the companies which are not quoted are also SAs.
Sociedad de Responsabilidad Limitada (SRL)
Private limited company. Minimum share capital must be Pts 500,00 all of which must be fully paid up at all times.
Sociedad En Comandita (SC)
Limited partnership. Liability limited to the amount of their capital conbribution.
Sociedad Regular Colectiva (SRC)
General partnership. General Partners are individually and collectively responsible for their actions in the name of and on behalf of the partnership. Their financial liability is
unlimited.

Union or Agrupacion Temporal
Joint Venture. These are split into two types:
- Those having separate legal entity.
Regulated by the Law relating to Asociaciones y Uniones de Empresas of 1963 these must have at least three participants whose individual holding in the joint venture Sociedad Anonoma cannot exceed 30% of their respective paid-up capitals.
- Those without a separate legal entity.
There are three types of joint venture without a separate legal entity:
- Agrupaciones de Empresas (Groupings of Firms)
- Uniones Temporales de Empresas (Temporary Joint Ventures)
- Cesiones de Unidad de Obras (Subcontracts)
Generally restricted to specific types of business or to specific contracts to be performed in Spain.
Company Accounts Filing Requirements
No central registry.
But each company has to be registered at the provincial commercial registry. Although companies must file their accounts and other data with their annual tax return, they are under no obligation to publish these unless the firm is quoted on the stock exchange.
New legislation in October 1990 made both SA and SRL companies obliged to file financial information and Directors Report (known in Spain as memory). 4000 companies filed on this date and it is hoped that a better response seen this year.
